1. Suppliers shall not employ Gokin Solar-related employees (including but not limited to procurement, production, quality inspection, R&D, logistics and other employees who are in service or have left within one year) as employees, supervisors, directors or consultants in their companies and receive remuneration or entrust them to provide any paid or unpaid services.
2. Suppliers shall not grant Gokin Solar employees and their close associates valuables, cash, stocks, equity, bonuses and other property interests or provide other benefits and conveniences by giving away or transferring at a low price, etc.
3. Suppliers shall not give gifts, gift certificates, shopping cards, cash, antiques, food, tobacco and alcohol to Gokin Solar employees and their close associates.
4. Suppliers shall not invite Gokin Solar employees and their close associates to participate in banquets, domestic and foreign travel and other entertainment activities, arrange employment and schooling, or deliberately lose money in gambling, draw prizes, etc.
5. Suppliers shall not obtain a favorable position to conduct business activities with Gokin Solar by bribing state officials and their related stakeholders.
6. When Gokin Solar selects partners in accordance with relevant laws, regulations and company needs, suppliers shall promise not to exert improper influence on personnel of Gokin Solar or its entrusted bidding agency, design company, supervision company and other related companies by means of bribes, subsidies or benefits or other kinds of relationships.
7. Suppliers shall promise that during the project negotiation, technical review, bidding, commercial bargaining, contract execution and other project promotion processes, if there is any relationship with Gokin Solar or other bidders or participants in the project, suppliers shall make a written statement of relationship to Gokin Solar in advance to explain in detail its relationship, which shall not affect the fairness and impartiality of the project promotion.
8. Suppliers shall promise not to do anything that violates business ethics, disrupts normal competition order, damages the image of both parties, not to collude in bidding, not to disclose confidential information of both parties, not to exclude fair competition from other operators, not to commit fraud or maliciously raise or lower bids in project negotiations, bidding and business quotations.
9. If Gokin's purchasing staff takes advantage of their position to ask for any benefits or gifts from suppliers, the suppliers shall be obliged to report to Gokin's Audit Department in a timely manner.
