Supplier Social Responsibility Code of Conduct

With the mission of "Bring greater benefits to humanity through solar energy", Gokin has strategically laid out the core links of the photovoltaic industry chain, exported photovoltaic green products and solutions to the global market, promoted the construction of a new energy system, worked with suppliers to create a lean supply chain in the photovoltaic field, established a valuable supplier partnership, and promoted a deep collaborative operation model for the supply chain. We insist on promoting business behaviors that are consistent with Gokin's core values (co-creation, simplicity, perfection, uniqueness, achievement), promoting suppliers to undertake social, environmental, and business ethics practices, and encouraging green production and supply. Therefore, Gokin requires suppliers to comply with all applicable laws and regulations in the countries/regions where they operate, and regards this as a prerequisite for cooperation.


This Code of Conduct outlines Gokin's expectations and requirements for suppliers in terms of compliance with laws and regulations, labor protection and rights, occupational health and safety, and environmental protection. Gokin encourages suppliers to adopt internationally recognized industry standards and industry best practices, continuously improves ESG practices, adheres to the concept of sustainable development, and defend and pass on the beauty of this "light" with an attitude of responsibility, so as to move forward steadily and act with determination.


All Gokin suppliers shall comply with this Code of Conduct. Gokin will evaluate suppliers' compliance with this Code of Conduct from time to time. Any violation of this Code of Conduct may jeopardize the business relationship between the parties, including termination of the cooperation.


This Code of Conduct applies to suppliers who provide products and/or services for Gokin Solar Co., Ltd. and/or its subsidiaries and affiliates (collectively referred to as "Gokin").


(I) Basic Principles


1. Comply with laws and regulations


Strictly comply with all applicable national laws and regulations, minimum industry requirements, relevant mandatory provisions of the International Labor Organization and United Nations conventions and other higher requirements in the countries/regions where it operates.


2. Comply with business ethics and integrity principles


1) Promise to abide by the principle of honesty and trustworthiness from beginning to end, without fraud or deception;


2) Never engage in any unethical or dishonest behavior that damages the interests of Gokin and the mutually beneficial and win-win cooperation between the two parties;


3. Comply with the contract spirit


1) Comply with and implement various agreements/contractual agreements with Gokin;


2) Be familiar with, understand and comply with Gokin's relevant system requirements and contractual agreements on suppliers and their products, product control, etc., including this Code of Conduct;


(II) Special Requirements


1. Freedom of Association and Collective Bargaining Rights


Subject to local regulations, suppliers shall recognize and respect employees' rights to freedom of assembly and association, organization, establishment of trade unions and collective bargaining in accordance with applicable laws and regulations without discrimination. 


2. Prohibition of Discrimination


Suppliers shall not engage in or support discrimination based on race, social class, nationality, religion, physical disability, gender, sexual orientation, union membership, political affiliation or age in matters involving hiring, compensation, training opportunities, promotion, dismissal or retirement.


3. Salary and Compensation


Suppliers shall ensure that the wages paid during a standard working month at least meet the statutory or industry minimum wage standards and meet the basic needs of employees, as well as provide some disposable income, and ensure that wages are not deducted for any disciplinary purpose.


4. Working Hours


Suppliers shall comply with local laws and industry standards regarding working hours and ensure that each employee has at least one day off after six consecutive days of work. All overtime work must be voluntary.


5. Workplace Health and Safety


1) Suppliers shall ensure safe and hygienic working and living environments, and ensure that all employees receive health and safety training.


2) Suppliers shall instruct their suppliers/partners not to violate labor protection or purchase products or raw materials that violate labor protection principles.


6. Elimination of Child Labor


Resolutely eliminate the employment of child laborers under the age of local laws and regulations or those who have not completed national compulsory education, and never engage in or tolerate any form of violations of labor laws and regulations.


7. Prohibition of Forced Labor and Disciplinary Measures


Suppliers shall not force employees to work, nor require employees to pay a "deposit" or deposit their identity documents when they are employed. Suppliers shall not engage in or support corporal punishment, mental or physical coercion, and verbal insults. For all or part of the goods (including the goods themselves, raw materials, etc.), suppliers shall promise that mining, manufacturing or production does not involve labor violations, and that they and their supply chain comply with laws, regulations and policy requirements on labor protection, export controls and economic sanctions.


8. Environment and Occupational Health and Safety


1) Suppliers shall comply with all national and local environmental laws and regulations, strengthen environmental protection, reduce the impact on the environment, and provide and maintain a safe and reliable working environment for employees;


2) Control hazards and take the most reasonable and possible preventive measures to prevent accidents and occupational diseases;


3) Avoid, minimize and, where necessary, offset any substantial impacts of operations on biodiversity during production and operation activities;


4) Take conservation and substitution measures, such as using renewable energy to replace traditional energy, reduce the consumption of energy, water and natural resources, continue to promote energy conservation and emission reduction, and actively practice the concept of green supply chain;


5) Provide training and ensure that internal and external employees are educated on health and safety issues to protect the safety of themselves and their work partners. 


9. Prohibition of Corruption and Bribery


Suppliers shall not tolerate any form of corruption and bribery by their employees, third parties or intermediaries, nor engage in any form of corruption and bribery, including paying any money or giving other forms of benefits to any government official/transaction counterparty/other interested party in violation of laws and regulations to influence decision-making.


10. Human Rights


Suppliers shall respect internationally recognized personal rights and shall not infringe these rights in any form. Suppliers shall respect the personal dignity, privacy and basic rights of every person.


11. Responsible Mineral Sourcing


1) Never use or sell "conflict minerals". Suppliers cannot use minerals from Congolese mines identified by the United Nations Security Council, such as gold, tantalum, tungsten, cobalt, tin or their derivatives, in the products they provide to Gokin;


2) Suppliers shall conduct due diligence on all sources and production and sales supervision chains contained in the products they supply or manufacture throughout the supply chain to ensure that there are no "conflict minerals", and provide due diligence measures and results upon Gokin's request.
